Who we are.
Sparrow Web Chat ("Sparrow", "the Service") is operated by EchoNest Solutions AB, a company registered in Sweden ("we", "us", "our"). Our trading domain is echonest.se and the Sparrow application is hosted at sparrow.echonest.se.
Acceptance of these terms.
By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.
Eligibility & age.
You must be at least 16 years old to create an account and use the Service. This reflects the default digital-consent age under Article 8 of the EU General Data Protection Regulation (GDPR). If you are under 16, you may only use the Service with verifiable consent from a parent or legal guardian.
You must not use the Service if you are barred from doing so under any applicable law or are listed on any sanctions list.
Your account.
Registration
You must register with a valid email address that you control. You are responsible for keeping your password and authentication credentials confidential and for all activity that occurs under your account.
Account security
Notify us immediately via our contact page if you suspect unauthorised access. We are not liable for losses arising from your failure to safeguard your credentials.
One person, one account
Accounts are personal. You may not share your account with others or operate multiple accounts to circumvent rate limits, free-tier allowances, or paid quotas.
Description of the service.
Sparrow is a chat application that connects you to large-language-model and image-generation providers. The Service includes the EchoNest gateway (a managed pass-through to upstream AI providers), Bring Your Own Model integrations, file-based knowledge bases ("Projects"), persistent user memory, custom personas ("Skills"), and tool integration via the Model Context Protocol (MCP).
The Service is an interface. AI responses are produced by the selected provider, not by us. We do not generate, verify, or warrant the content of those responses.
Acceptable use.
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose, including violations of intellectual-property rights or privacy laws.
- Generate, distribute, or host content that depicts child sexual abuse material (CSAM), incites violence, promotes terrorism, harasses individuals, or violates the policies of the upstream AI providers we route to.
- Attempt to access another user's data, bypass authentication, or compromise the integrity of the Service.
- Probe, scan, or test the vulnerability of the Service except under a written security-research agreement with us.
- Use the Service to develop a competing AI service by extracting model outputs at scale, or to train another machine-learning model on our outputs without our written consent.
- Circumvent rate limits, credit deductions, or quota enforcement (e.g. by automation, multiple accounts, or token forging).
- Upload malware, viruses, or files designed to disrupt the Service or other users.
We may remove content and suspend or terminate accounts that violate these rules. Severe or repeated violations may also be reported to law enforcement.
Your content.
"Your Content" means anything you send to the Service: prompts, attachments, project files, saved memories, profile data, and similar inputs.
You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, and display Your Content solely to provide and improve the Service to you. We do not sell Your Content, do not use it for advertising, and do not disclose it to third parties except as described in our Privacy Policy or as required by law.
You are responsible for ensuring that you have the rights to upload Your Content and that doing so does not violate any law or third-party right.
Output and accuracy.
"Output" means responses generated by an AI model based on your prompts. As between you and us, you own the Output you generate, subject to the terms of the upstream provider that produced it.
AI-generated Output may be inaccurate, incomplete, biased, or otherwise unsuitable. You are solely responsible for evaluating Output before relying on it, and especially before using it for decisions involving health, legal, financial, or safety-critical matters. The Service is not a substitute for professional advice.
Output may be similar across users for similar prompts. We make no warranty that Output is unique to you, free of third-party rights, or non-infringing.
Free-tier models & training data.
Free-tier models available through the EchoNest provider are served by upstream providers under free-access arrangements. As a condition of free access, conversations using free-tier models may be used by upstream model providers for training, fine-tuning, and improvement purposes. This applies only to free-tier EchoNest models (identified by their zero credit cost in the model picker).
Paid-tier models (Standard, Premium, and Heavy) available on Plus and Pro plans do not have this training data requirement. Your conversations with paid models are not shared upstream for training.
If you do not wish your data to be used for training, subscribe to a Plus or Pro plan and use paid-tier models, or use Bring Your Own Model with a provider whose data policy meets your requirements.
Bring Your Own Model (BYOM).
You may connect your own API keys for supported third-party AI providers. When you do so, requests are routed directly to the provider you chose, using your credentials. Sparrow does not deduct credits for BYOM calls.
BYOM use is governed by the third-party provider's own terms and privacy policy. We are not a party to your relationship with that provider, are not responsible for their content, billing, availability, or data handling, and do not warrant compatibility with their evolving APIs.
Subscriptions, credits & billing.
Plans
The Service offers a free plan and paid subscription plans (currently Plus and Pro). Plan features, credit allowances, and prices are shown on the upgrade page in the application and may change from time to time. Prices are quoted in Swedish kronor (SEK) and are inclusive of any applicable VAT unless stated otherwise.
Credits
Paid plans include a monthly credit allowance. Credits are consumed by AI model usage on a per-token basis using rates published in the model catalogue. Unused credits do not roll over and are forfeited on plan cancellation, downgrade, or non-payment.
Payment
Payments are processed through a third-party payment provider. By subscribing, you authorise us (via that provider) to charge your payment method on a recurring basis until you cancel. You are responsible for keeping payment details up to date.
Renewal
Subscriptions renew automatically each billing period at the then-current price. We will notify you in advance of any price changes.
Failed payments
If a renewal payment fails, we may suspend access to paid features until payment is made or downgrade your account to the free plan after a grace period.
Cancellation & refunds.
You may cancel your subscription at any time from the billing portal accessible inside the application (User menu › Upgrade › Manage subscription). Cancellation takes effect at the end of the current billing period; you retain access until then.
Under EU consumer law, you may withdraw from a digital-services contract within 14 days of purchase. By starting to use credits or paid-tier features immediately, you expressly waive this right of withdrawal for the portion of the service you have already consumed. We may, at our sole discretion, grant pro-rata refunds in cases of service failure or where required by mandatory consumer law.
Third-party services.
The Service relies on third-party infrastructure providers for hosting, payments, AI inference, content delivery, and authentication. These providers are subject to their own terms and privacy notices. We are not responsible for their actions or omissions, and we may change providers at our discretion.
Intellectual property.
The Service, including its source code, design, logos, and documentation, is owned by us or our licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose.
You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of the Service except as expressly permitted by law or in writing by us.
Confidentiality & security.
We apply industry-standard administrative, technical, and organisational measures to protect your data against unauthorised access, including encryption of data in transit and at rest. Authentication credentials are processed using established cryptographic practices and are not stored in plaintext. You acknowledge that no security measure is perfect and that you use the Service at your own risk.
Data protection.
We process personal data in accordance with applicable data-protection laws, including the EU General Data Protection Regulation (GDPR) where it applies. Our Privacy Policy describes the categories of data we process, the purposes of processing, and the basis on which we rely.
To the extent required by applicable law, you may have certain rights regarding your personal data. You can exercise any such rights through our contact page, in which case we will respond within the time required by law. Where applicable, you may also have the right to lodge a complaint with a competent data-protection supervisory authority.
Beta features.
From time to time we may make features available marked "beta", "preview", or similar. These features are provided as-is for evaluation, may change or be removed at any time, and may not meet the same reliability or support standards as the rest of the Service.
Service availability.
We aim to keep the Service available but do not guarantee uninterrupted operation. The Service may be unavailable due to maintenance, infrastructure outages, third-party-provider issues, or other events beyond our reasonable control. We make no service-level commitments unless explicitly agreed in a separate written contract.
Suspension & termination.
We may suspend or terminate your access to the Service at any time, with or without notice, if (a) you breach these Terms, (b) your activity poses a risk to the Service, other users, or our infrastructure, (c) we are required to do so by law, or (d) we discontinue the Service.
You may terminate your account at any time by deleting it from the application (User menu › Profile › Delete account) or via our contact page. On termination, your right to use the Service ceases immediately and we will delete your data in accordance with our retention practices, except where retention is required by law.
Disclaimer of warranties.
To the maximum extent permitted by law, the Service and Output are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or freedom from errors or interruption. We do not warrant that the Service will meet your requirements or that any particular Output is correct.
Limitation of liability.
To the maximum extent permitted by law, in no event will we, our affiliates, or our suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the Service.
Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, or death or personal injury caused by negligence.
Indemnification.
You agree to indemnify and hold us, our affiliates, and our personnel harmless from and against any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your misuse of the Service, or (c) Your Content infringing the rights of any third party.
Governing law & disputes.
These Terms are governed by the laws of Sweden, without regard to conflict-of-laws rules. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Swedish courts, with the District Court of Stockholm (Stockholms tingsrätt) as the court of first instance.
If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence, and nothing in this section limits your statutory consumer rights. EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Changes to these terms.
We may update these Terms from time to time. If we make material changes, we will notify you through an in-app notice or other reasonable means before the change takes effect. Continued use after the effective date constitutes acceptance. The "Last updated" date at the top of this page indicates the most recent revision.
Miscellaneous.
Entire agreement
These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service and supersede all prior agreements.
Assignment
You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
No waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Force majeure
We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, civil or military authorities, fires, floods, accidents, pandemics, network failures, or upstream-provider outages.
